I live in an artist cooperative. It is stated in our Bylaws "Except for the chairperson of the committee, such committee members need not be Directors."
The chairperson of one of our committees is not a Director.
That doesn't fly with the logic of the given Bylaws, right? Doesn't the chairperson NEED to be an elected Director? The quote-unquote chairperson in question says that I'm wrong, and that the chairpersons of our committees need not be Directors. Who is right?

The general rule is that committee members don't need to be directors. The first half gives you the lone exception to this rule - the chairperson. Just rearrange the two halves this way: "Such committee members need not be Directors, except for the chairperson of the committee."
Long story short, you're right and your chairperson is bad at parsing English.
"Except for the chairperson of the committee, such committee members need not be directors" = MD(Member director)(--)C (chairperson).
